Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Compare Services LLC ("Compare Services," "we," "us," or "our") affiliate program portal and application system (the "Portal").

By accessing the Portal, submitting an application, or creating an account, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Portal or submit an application.

Eligibility to Apply

To apply for our affiliate program, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal authority to enter into binding agreements
• Not be prohibited from participating under applicable law or regulation

We reserve the right to reject any application in our sole discretion for any reason or no reason.

The Application Process

Submitting an Application

You may submit an application through the Portal by providing accurate and complete information, including:

• Your legal name and contact information
• Business details (if applicable)
• Tax identification information
• Any other information we request

Application Review

After you submit an application, we will review it and may:

• Request additional information or documentation
• Schedule a screening call with you
• Require a background check (with cost reimbursement)
• Require payment of onboarding or program fees
• Approve, reject, or request modifications to your application

We make no guarantees regarding approval timeline or outcome. Application review timelines vary based on individual circumstances.

Approval and Next Steps

If your application is approved, you will be required to:

• Sign our Affiliate Program Terms and Conditions (the "Affiliate Agreement")
• Provide tax documentation (W-9) through our payment processor, Ramp
• Pay any applicable fees as outlined during the approval process
• Complete any required onboarding or training

Important: These Terms govern only your use of the Portal and the application process. Your participation in the affiliate program itself is governed exclusively by the Affiliate Agreement, which you will review and sign if approved.

No Guarantee of Approval

Submission of an application does not guarantee acceptance into the affiliate program. We reserve the right to approve or reject any application at our sole discretion.

Portal Account and Access

Account Creation

If you are approved to participate in the affiliate program, you will receive login credentials to access the Portal, which is powered by Post Affiliate Pro.

Account Security

You are responsible for:

• Maintaining the confidentiality of your username and password
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or security breach

You may enable multi-factor authentication (MFA) for added security. We may require MFA in the future.

Prohibited Account Activities

You may not:

• Share your login credentials with any other person or entity
• Allow any other person to access the Portal using your account
• Use the Portal for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Portal
• Use automated tools (bots, scrapers, etc.) to access the Portal
• Interfere with or disrupt the Portal's operation

Account Suspension or Termination

We may suspend or terminate your Portal access at any time, with or without notice, if:

• You violate these Terms or the Seller Agreement
• We suspect fraudulent or unauthorized activity
• We terminate your participation in the affiliate program
• We discontinue the Portal or the affiliate program

Information We Collect

Application Information

When you submit an application, we collect:

• Personal information (name, email, phone, address)
• Business information (business name, entity type, tax ID)
• Background check authorization and results (if applicable)
• Payment information for fees

Portal Usage Information

When you use the Portal, we and our third-party service provider (Post Affiliate Pro) collect:

• Login activity (timestamps, IP addresses, device information)
• Performance data (clicks, referrals, enrollments, commissions)
• Browser and device data
• Cookies and similar tracking technologies

How We Use Your Information

We use this information to:

• Process and evaluate your application
• Operate and improve the Portal
• Track affiliate performance and calculate commissions
• Comply with legal and regulatory requirements
• Prevent fraud and ensure security
• Communicate with you about your account and the program

Tax Documentation

W-9 Requirement

If you are approved and earn commissions, you will be required to provide a completed IRS Form W-9 (or W-8 for non-US entities, though we currently accept US participants only) through our payment processor, Ramp.

1099 Reporting

If you earn $600 or more in commissions in a calendar year, we will issue an IRS Form 1099-NEC to you and report the payments to the IRS.

Your Tax Responsibility

You are solely responsible for all tax obligations arising from your participation in the affiliate program, including reporting income and paying applicable federal, state, and local taxes.

Cookies and Tracking Technologies

Use of Cookies

The Portal uses cookies and similar technologies to:

• Keep you logged in during your session
• Remember your preferences
• Track affiliate performance and attribution
• Analyze Portal usage and improve functionality
• Prevent fraud and enhance security

Post Affiliate Pro

Our affiliate platform is powered by Post Affiliate Pro, which uses its own cookies and tracking technologies. Post Affiliate Pro's practices are governed by their privacy policy, available at www.postaffiliatepro.com.

Managing Cookies

Most browsers allow you to control cookies through their settings. However, disabling cookies may prevent you from accessing certain Portal features and may affect commission tracking.

Intellectual Property

Ownership

The Portal and all content, features, and functionality (including but not limited to software, text, graphics, logos, and trademarks) are owned by Compare Services LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for the purpose of applying to and participating in the affiliate program.

Restrictions

You may not:

• Copy, modify, or create derivative works of the Portal
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices
• Use our trademarks, logos, or branding without prior written permission

Third-Party Services

The Portal integrates with third-party services, including:

• Post Affiliate Pro (affiliate platform management)
• Ramp (payment and tax documentation)
• Stripe (payment processing, if applicable)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, practices, or content of third-party services.

Disclaimers

NO WARRANTY

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Portal will be uninterrupted, secure, or error-free
• Any defects will be corrected
• The Portal is free of viruses or harmful components
• Your application will be approved
• You will earn any specific amount of commissions

No Guarantee of Income

Participation in the affiliate program does not guarantee any level of income or earnings. Actual results vary based on individual performance, market conditions, and other factors beyond our control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE WILL NOT BE LIABLE for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Portal or participation in the affiliate program, even if we have been advised of the possibility of such damages.
• OUR TOTAL LIABILITY to you for all claims arising out of or related to these Terms or your use of the Portal will not exceed $100 or the amount of fees you paid to us in the six months preceding the event giving rise to liability, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

Indemnification

You agree to indemnify, defend, and hold harmless Compare Services LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Portal
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• Any information or content you submit through the Portal

Modifications to Terms

We may update these Terms from time to time by posting a revised version on the Portal. The "Last Updated" date at the top will reflect the most recent changes.

Material changes will be communicated via email or a prominent notice on the Portal. Your continued use of the Portal after changes become effective constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Portal.

Termination

Termination by You

You may stop using the Portal at any time. If you have an active affiliate account, you must follow the termination procedures outlined in the Seller Agreement.

Termination by Us

We may suspend or terminate your access to the Portal at any time, with or without notice, for:

• Violation of these Terms or the Seller Agreement
• Suspected fraudulent or illegal activity
• Any reason or no reason, in our sole discretion

Effect of Termination

Upon termination:

• Your right to access the Portal immediately ceases
• You must stop using any materials or information obtained through the Portal
• Sections 8 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), and 16 (Dispute Resolution) survive termination

Privacy and Data Protection

Your use of the Portal is subject to our Privacy Policy, which explains how we collect, use, and protect your information.

By using the Portal, you consent to our data practices as described in the Privacy Policy.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Informal Resolution

Before filing any formal dispute, you agree to first contact us at team.legal.cs@letschoose.com to attempt to resolve the matter informally.

Mandatory Arbitration

If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Portal will be resolved through binding arbitration rather than in court, except as specified below.

Arbitration Rules:

• Administered by the American Arbitration Association (AAA)
• Conducted under the AAA's Commercial Arbitration Rules
• Before a single arbitrator in Dallas, Texas
• Governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16)

Costs: Each party will pay its own attorneys' fees and share AAA and arbitrator fees equally, subject to reallocation by the arbitrator.

Exceptions: You may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive or equitable relief in court to protect intellectual property rights.

Class Action Waiver

YOU AND COMPARE SERVICES AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. You may not bring claims as a class, collective, consolidated, or representative action. There will be no class arbitration, class action, or representative action.

Jury Trial Waiver

To the extent any dispute is litigated in court (rather than arbitrated), you and Compare Services waive the right to a jury trial.

General Provisions

Entire Agreement (Portal Only)

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Compare Services regarding your use of the Portal and supersede any prior agreements.

However, if you are approved for the affiliate program, your participation is governed exclusively by the Seller Agreement, which supersedes these Terms with respect to your affiliate activities.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms or your Portal account without our prior written consent. We may assign these Terms at any time without notice.

Electronic Communications

By using the Portal, you consent to receive electronic communications from us, including emails about your application, account, or program participation. These communications are considered to be "in writing."
